Mmedia Partner Terms

These Partner Terms ("Terms") govern participation in the Mmedia Partner Program operated by MMEDIA LIMITED, a company registered in New Zealand ("Mmedia", "we", "us"). By applying to the Program you agree to these Terms.

1. The Program

The Partner Program is a customer-referral relationship. Partners introduce prospective customers ("Leads") to Mmedia; Mmedia is solely responsible for delivering its services to customers. Participation is subject to Mmedia's approval of the Partner's application; Mmedia may accept or decline applications at its discretion. A Partner is an independent contractor. Nothing in these Terms creates an employment, agency, joint-venture or exclusive relationship, and a Partner may not make commitments on Mmedia's behalf.

2. Commission

Approved Partners earn a commission of 40% of the subscription fees actually received by Mmedia from each customer attributed to the Partner, for the lifetime of that customer's subscription.

The commission base excludes: (a) advertising budget, which customers pay directly to advertising platforms; (b) one-time fees of any kind; and (c) future product lines, whose commission rates will be announced separately when such products launch.

3. Lead Attribution

  • First to submit. A Lead is attributed to the first Partner who registers it with Mmedia, at the time of registration.
  • Protection window. A registered Lead is protected for the submitting Partner for 90 days. If the customer signs up within the window, the customer is attributed to that Partner permanently. If not, the protection lapses and the Lead may be registered by another Partner or pursued by Mmedia directly.
  • Existing pipeline exclusion. A Lead cannot be attributed if, at the time of registration, the prospective customer is already an Mmedia customer, has already contacted Mmedia directly, or has already been registered by another Partner. Mmedia will tell the Partner promptly when this is the case.
  • Returning customers. If an attributed customer cancels and later returns, the original attribution stands and commission resumes.
  • Lead consent. By registering a Lead, the Partner confirms it is entitled to share the Lead's contact details with Mmedia. Mmedia uses those details only to follow up on the referral and handles them under its Privacy Policy.

4. Payouts

Commissions are settled per calendar month and paid by the 15th day of the following month, via Wise or PayPal at the Partner's choice. A commission becomes payable only once the related customer payment is at least 30 days old (the refund window); commissions that have not yet cleared the window roll into the next monthly settlement. The minimum payout is $50; smaller balances roll over to the next month. If a customer payment is refunded, the related commission is reversed. Settlement is documented by a self-billing statement issued by Mmedia.

5. Taxes

Partners are independent contractors and are solely responsible for any taxes, filings and social charges applicable to them in their own jurisdiction. Commissions are paid without withholding unless required by law.

6. Promotional Bonuses

Mmedia may from time to time offer one-time performance bonuses or promotional campaigns in addition to recurring commission. Each campaign is governed by the rules published with it and does not modify these Terms.

7. Prohibited Conduct

Partners must not: (a) make false or exaggerated claims about Mmedia or promise specific advertising results on Mmedia's behalf; (b) engage in self-referral — registering a business the Partner owns or controls as a Lead; (c) bid on Mmedia brand terms in any advertising platform; (d) present themselves as an employee or exclusive representative of Mmedia; or (e) use spam or deceptive practices to source Leads. Violations may lead to termination and forfeiture of unpaid commission attributable to the violation.

8. Changes and Termination

Mmedia may adjust the commission rate prospectively with 30 days' notice; the rate already confirmed for a Partner's existing attributed customers is not reduced retroactively. Mmedia may also update these Terms with 30 days' notice by email or through the Partner Dashboard; changes apply prospectively, and continued participation after the effective date constitutes acceptance. Either party may terminate the partnership at any time with written notice. After termination, commissions already confirmed for past settlement periods remain payable; recurring commission on attributed customers ceases for periods after the termination date unless otherwise agreed in writing.

9. No Guarantee

Partner earnings depend on the Partner's own customer relationships and market conditions. Mmedia makes no promise of any income level. Nothing in the Program constitutes financial advice.

10. Liability

To the maximum extent permitted by law, Mmedia's total aggregate liability to a Partner under or in connection with these Terms is limited to the commissions paid to that Partner in the twelve months preceding the event giving rise to the claim, and neither party is liable to the other for indirect or consequential loss, including loss of profit or opportunity. Nothing in these Terms excludes liability that cannot be excluded by law.

11. Governing Law

These Terms are governed by the laws of New Zealand, and disputes are subject to the non-exclusive jurisdiction of the New Zealand courts.
